SUBJECT to express agreement to the contrary, all orders written and oral, are accepted on the understanding that the following terms apply to each and every business transaction.

ORDERS: All orders must in confirmed in writing, by fax or email.

NEW ACCOUNTS: On placing of first order, customers are requested to provide buyers name, full company address, phone and fax number, email address, Banking address and two trade references, VAT and Company registration number.

HOUSE TRADERS: Will not knowingly be supplied.

CREDIT ACCOUNTS: Initial orders will be on a Pro-forma basis. Following acceptable references and subject to compliance with Scanstrut’s terms, credit accounts will then be opened and goods invoiced on account, otherwise a Pro-forma invoice will be issued. Trade references should be from brand name suppliers with whom several transactions have been made during the last six months.

TERMS FOR CREDIT ACCOUNT CUSTOMERS: Invoices are payable strictly within 30 days of invoice date. Failure to settle within 30 days may result in the delay of further deliveries. Overdue accounts will be subject to a 3% charge per month, calculated on a daily basis and due immediately.

Subject to express agreement to the contrary, any delivery date quoted is given in good faith and is not guaranteed but delivery shall be within a reasonable time of any date specified, bearing in mind all the circumstances of each case.

RETENTION OF TITLE: Ownership of the goods shall not pass to the customer until Scanstrut has received in full all sums due to it in respect of the goods and all other sums which are or which become due to Scanstrut from the customer on any account.

RISK IN GOODS SUPPLIED: Risk in all goods, equipment and materials supplied by Scanstrut to a customer shall pass to the customer at the time of delivery to the customer, or the customer’s carrier or agent, whichever is the sooner.

TERMS FOR NON-CREDIT ACCOUNT HOLDERS: Pro-forma invoice payment must be received as cleared funds before the goods are shipped or released from Scanstrut’s premises.

PRICE FLUCTUATIONS: All prices are subject to alteration or correction without notice. Orders are accepted on the understanding that prices current on the day of despatch will be charged. Scanstrut make every effort to give a month’s notice of any price changes.

CLAIMS: Where Scanstrut arranges the shipping or delivery of goods any damage in shipment must be reported in writing to the carriers and to Scanstrut within 3 days of delivery, and the goods shall be signed for as “damaged, contents unexamined”.

MISSING PARCEL(S): Where Scanstrut arranges the shipping or delivery of goods the Customer shall notify Scanstrut in writing immediately if any parcel does not arrive within 14 days of invoice date.

WARRANTY: Scanstrut products are warrantied for 24 months from invoice date against manufacturing defect, provided the product has been used for the intended purpose.

Faulty goods will be replaced or repaired at the discretion of Scanstrut, and must first be returned for inspection. The cost of shipping return shall be paid by the Customer. Scanstrut reserves the right to refuse badly packaged returns. Scanstrut reserve the right to replace items and accepts no responsibility for installation or labour charges relating to the removal, return and replacement of warranty items.

Scanstrut reserves the right to modify and change the design and specification of its products without notice. Such changes will not entitle the customer to claim replacement or refund under this warranty.

This warranty is the sole and exclusive remedy for the customer and Scanstrut excludes all other liabilities to the fullest extent permitted by law.

Scanstrut accepts no liability to indemnify the customer against any loss of profit or turnover which he or his customer or any other person may sustain in consequence of the failure of any faulty or unfit article supplied by Scanstrut.

LAW AND JURISDICTION: Any contract or series of contracts made subject to these terms shall be subject to and governed by English law. Any dispute arising under them – other than a claim by Scanstrut for payment of sums due to it from a customer - shall, in the first instance, be submitted to mediation under the British Marine Federation’s Dispute Resolution Scheme. In the event that the dispute is not resolved by mediation it shall then be submitted to the exclusive jurisdiction of the Courts of England and Wales.
